Direct Wholesale — Real Tradie Referral Program

These Terms & Conditions ("Terms") form a legally binding agreement between you ("you" or "Referrer"), your referred tradie mate ("Referee"), and Direct Wholesale Pty Ltd (ABN: 98 614 574 373) ("Direct Wholesale," "we," or "us"). By participating in the Program, you agree to comply with these Terms.

1. Program Overview

1. The Program rewards licensed tradespeople ("Referees") who join Direct Wholesale through referral links, and the Referrers who introduce them.
2. The Program is managed using the Impact Advocate platform, which handles tracking and rewards.
3. This Program is non-exclusive. Direct Wholesale may operate other referral or affiliate programs concurrently.
4. Direct Wholesale may decline participation or remove Referrers or Referees from the Program at its discretion.

2. Eligibility

1. Referrers must:
   • Be at least 18 years old;
   • Maintain an active Impact Advocate account with current contact details;
   • Not be an employee or immediate family member of Direct Wholesale employees;
   • Not refer themselves or create duplicate accounts.
2. Referees must:
   • Be a licensed tradesperson (for example, electrician or plumber) in Australia;
   • Provide a **valid trade licence number and issuing state** during Direct Wholesale account creation;
   • Be the account owner. Use of a friend’s, colleague’s, or employer’s trade licence is strictly prohibited.
3. Direct Wholesale will verify licence details only once a referral reaches the reward threshold. If verification fails, no rewards will be issued and the referral may be disqualified.
4. Fraudulent use of licence information will result in immediate disqualification from the Program and possible account closure.

3. Qualified Referrals

1. A "Qualified Referral" must meet all the following:
   • The Referee must be a new Direct Wholesale customer (no previous account or purchases under the same person or business);
   • The Referee must sign up using the Referrer’s unique referral link;
   • The Referee must provide valid licence details (per Section 2.2);
   • The Referee must spend at least AUD $1,000 (including GST) within 30 days of creating their account.
2. Direct Wholesale reserves the right to determine, in its sole discretion, whether a referral qualifies.
3. Referrals that are self-referrals, fraudulent, incomplete, or cancelled will not qualify.
4. Direct Wholesale will not mediate disputes between Referrers and Referees.

4. Referral Rewards

1. For Referrers (Advocates):
   • AUD $10 Prezzee gift card when Referee spends $1,000+ in first 30 days
   • AUD $25 Prezzee gift card when Referee spends $2,000+ in first 30 days
   • AUD $50 Prezzee gift card when Referee spends $3,000+ in first 30 days
2. For Referees (New Tradies):
   • AUD $100 store credit when spending $1,000+ in first 30 days
   • AUD $225 store credit when spending $2,000+ in first 30 days
   • AUD $350 store credit when spending $3,000+ in first 30 days
3. Rewards are issued only after successful trade licence verification.
4. Store credits will be applied directly to the Referee’s Direct Wholesale account. Prezzee gift cards will be issued electronically to the Referrer’s email address recorded in Impact Advocate.
5. Rewards are non-transferable, not redeemable for cash, and subject to availability.

5. Payment & Delivery

1. Rewards are processed through the Impact Advocate platform.
2. Prezzee gift cards are typically delivered within 30 days after a Qualified Referral is verified.
3. Direct Wholesale is not responsible for delays due to incorrect details, spam filters, or third-party platform issues.
4. If a Referrer or Referee fails to provide valid contact details within 6 months, the reward will be forfeited.

6. Referrer Obligations & Prohibited Conduct

1. Referrers must:
   • Promote Direct Wholesale honestly and lawfully;
   • Obtain consent before sending referral invitations;
   • Comply with all applicable laws, including Australia’s Spam Act and other privacy and advertising laws.
2. Referrers may not:
   • Refer themselves or use fake identities;
   • Use another person’s trade licence details;
   • Share referral links on coupon/deal sites, paid ads, or Direct Wholesale’s official channels without permission;
   • Misrepresent their relationship with Direct Wholesale;
   • Use bots, click farms, VPNs or other deceptive means to simulate signups or qualifying purchases.
3. Any breach may result in disqualification and loss of rewards, and Direct Wholesale reserves the right to recover any wrongly paid rewards.

7. Disclosure Requirement

Referrers must clearly disclose when sharing referral links. A suggested disclosure is:

“This is a referral link. I may earn a Prezzee gift card if you sign up and make a qualifying purchase.”

Referrers are responsible for compliance with applicable disclosure laws.

8. Program Changes & Termination

1. Direct Wholesale may update, suspend, or end this Program with 7 days’ notice.
2. Continued participation after changes indicates acceptance of the updated Terms.
3. Direct Wholesale may terminate your participation at any time, with or without cause.

9. Intellectual Property & Data Use

1. All Direct Wholesale trademarks and branding remain our property.
2. Participant data is handled in accordance with our Privacy Policy and the Impact Advocate platform’s terms.
3. By participating you consent to Direct Wholesale using de-identified referral activity for reporting and marketing purposes, unless you opt out by contacting us.

10. Limitation of Liability

1. Direct Wholesale is not liable for indirect, incidental, or consequential damages.
2. Our total liability to you for any claim related to these Terms will not exceed the total value of rewards issued to you in the six months prior to the claim.

11. Governing Law

These Terms are governed by the laws of Queensland, Australia. Participants submit to the exclusive jurisdiction of the courts of Queensland.

12. Severability

If any clause is found invalid, the remainder of these Terms will remain enforceable.
